Terms and conditions for Worthy Cause Partners
B1G1 Giving (Registered Society in Singapore: T09SS0020H)
1. COMMITMENT
Worthy Cause Members of B1G1 Giving and Buy1GIVE1 (Buy1GIVE1 Pte. Ltd.) have a commitment to work together to make a difference for the period of the memberships. Except as noted in Section 4 below, the Worthy Cause membership is effective for the period of one year from the date of approval and will be renewed automatically unless either party requests termination in writing, or unless the membership is terminated prior to expiration by B1G1 in accordance with these Terms and Conditions.
2. TRANSPARENCY AND INTEGRITY
The information provided by the Worthy Cause will be uploaded on the online list of B1G1 website upon approval of the membership. The Worthy Cause is required to list its projects and required funding per project with accurate figures to ensure the delivery of the specified activities with the funding received from B1G1 Business Members and Sponsors. The Worthy Cause is entirely liable to maintain the correct and accurate information listed on B1G1’s website, and to update the information in accordance with Section 11 below. Once the Worthy Cause has received the funding for its projects from B1G1, the Worthy Cause is solely responsible for delivering the Worthy Cause activities in the course of 12 months from the date of receipt of the contribution, unless special arrangements are agreed to in advance, in writing, with B1G1 Giving. B1G1 reserves the right to request the audited accounts of each Worthy Cause Member and a summary of its annual activities in order to conduct due diligence for B1G1 Business members, and the Worthy Cause Member hereby agrees to submit such information to B1G1 promptly upon request. The Worthy Cause is also required to make the information available for the contributing members upon request. Failure of a Worthy Cause Member to submit such information to B1G1 within 30 days from the date of request will result in the withdrawal of the Worthy Cause membership, unless B1G1 has agreed in advance, in writing, to an extension of the time for submission.
3. PARTNERING WITH A BUSINESS MEMBER
B1G1 does not guarantee any partnerships or funding supports. The Worthy Cause membership only entitles the Worthy Cause to be listed on B1G1’s Worthy Cause list, which B1G1 Business Members visit to find the causes of their choice. However, advice may be given to improve the listing if the Worthy Cause does not receive any funding for a prolonged period of time. B1G1 reserves the right to remove any specific listings for which insubstantial contributions, in B1G1’s judgment, are being made. Each Worthy Cause Member is responsible for the correctness of all information provided under its online profile and the proper use of donations received through B1G1.
4. B1G1's RIGHT TO TERMINATE MEMBERSHIP; TRIAL MEMBERSHIP
B1G1 Giving reserves the right to terminate a membership should B1G1 believe in good faith that the Worthy Cause Member may have engaged, or may be about to engage, in any conduct that would violate any applicable law, or would constitute misrepresentation, or would be likely, in the view of B1G1, to damage the reputation of B1G1 Giving. In addition, B1G1 Giving reserves the right to terminate a membership if, in B1G1’s judgment, insubstantial contributions are being made to the Worthy Cause Member.
In certain circumstances, B1G1 and a potential worthy cause member (“Trial Member”) may agree that the parties should enter into a trial membership to assess whether the cause is likely to attract sufficient contributions to make the arrangement beneficial from the standpoint of both parties. In such cases, B1G1 will initiate a 6-month membership (a “Trial membership”) with the worthy cause. At the end of the 6-month period, at B1G1’s discretion, the Trial membership may be: (a) converted to a customary one-year membership as described in these Terms and Conditions; (b) terminated; or (c) extended for one or more additional 6-month periods, except that the total duration of all such Trial periods taken together shall not exceed two years.
5. GOVERNING LAW
This Agreement shall be construed as operating under the laws of the Republic of Singapore. Worthy Cause Members of B1G1 Giving must also remain fully compliant with the governing laws of the country/countries of their registration(s). Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration in Singapore in accordance with the then-current Arbitration Rules of the Singapore International Arbitration Centre (“SIAC Rules”), which are deemed to be incorporated by reference in this Agreement. The Tribunal shall consist of a single arbitrator, and all proceedings shall be conducted in English.
6. LIABILITIES
B1G1 has no liability whatsoever for any B1G1 Worthy Cause Member’s operations, services or public information, nor for any of their assets, liabilities or obligations.
7. TRANSFER & CANCELLATION OF MEMBERSHIP
B1G1 membership cannot be transferred to another organisation without the prior written approval of B1G1, which it may withhold in its absolute discretion. Cancellation of the membership must be requested in writing, and will take effect 10 working days after receipt of such notice by B1G1.
8. ADMINISTRATION FEES
There are no upfront fees currently for the Worthy Cause Members who are sponsored by a B1G1 Business Member. This is a social contribution of Buy1GIVE1 Pte Ltd.
9. 100% TO WORTHY CAUSE
B1G1 guarantees that 100 per cent of contributions go directly to the Worthy Cause Member. When an accumulated amount of contributions reaches $500 USD, the funds are transferred to the Worthy Cause Member in the following month with a remittance advice with a list of dedicated projects and deducted bank charges. Unless special arrangements are made, amounts smaller than $500 USD will be held in B1G1 Giving’s account in Singapore in order to avoid the high bank charges for small transactions. If funds held by B1G1 Giving in a Worthy Cause Member’s account for 12 months are less than $500, then B1G1 will take one of the following actions: (a) if the account balance is less than $500, but greater than the cost of the associated bank charges for collection and transfer, then B1G1 will remit the amount to the Worthy Cause Member, less any applicable charges; or (b) if the account balance is less than the cost of the associated bank charges for collection and transfer, then B1G1 will close the Worthy Cause Member’s account, and remit the remaining funds to a selected charity organisation.
10. PROVISION OF RECEIPTS
When donations are received DIRECTLY from any of the B1G1 Business Members, the Worthy Cause Members are required to provide a copy of receipt to B1G1 Giving within 30 days of the receipt of the funds. Funds remitted from B1G1 also require notifications (acknowledging the receipt of funds) and tax receipts to be issued to the B1G1 Business Member if requested.
11. UPDATING THE INFORMATION
It is the Worthy Cause Member’s responsibility to ensure that their contact, organisational, banking and project details are kept up to date. B1G1 shall have no liability for any loss of funds or excess bank charges incurred as a result of incorrect banking information provided by the Worthy Cause Member. Project costs must be reviewed at least annually and updated to reflect current costs; provided that the Worthy Cause Member must update project costs and other information promptly, whenever it knows or has reason to believe that the information previously supplied is no longer accurate and complete. Every project must also have a photo. If projects are not complete they will not be displayed on the B1G1's website. Incomplete project information, or project information which B1G1 in good faith believes may be inaccurate, may be removed without notice.
12. OWNERSHIP OF BUY1GIVE1 (B1G1) BRAND
B1G1 Worthy Cause membership specifically does not mean that the Worthy Cause Member has any ownership whatsoever of intellectual properties of the Buy1GIVE1 Pte. Ltd. or B1G1 Giving.
13. LOGO AND BRAND USAGE
The Worthy Cause Member has the right as a member of B1G1 Giving to use under licence all the standard Worthy Cause logos and supplied marketing materials. The ownership of the logos and marketing materials stays with B1G1. As a member, the Worthy Cause Member agrees to the following basic logo usages: a) display of the logo as provided, unmodified; b) Whenever a B1G1 logo or business name is added to an electronic document such as a website or an email auto signature, insertion of an active link to be added to www.b1g1.com; c) retention of the logos and other marketing materials exclusively for its own use, and refraining from sharing them with other non-members.
14. CHANGES IN TERMS & CONDITIONS
B1G1 Giving reserves the right to modify or supplement these Terms and Conditions at any time and without prior notice; however, in the event of a material change, we will post an alert on our homepage for 30 days to alert users to the change.
